Varian Stockholders Approve Merger with Agilent Technologies
At a special meeting of stockholders held on October 5, 2009, Varian’s stockholders adopted the merger agreement entered into with Agilent Technologies, under which Agilent will acquire Varian for $52.00 per share in cash. Approximately 84 percent of the shares of Varian common stock outstanding as of August 12, 2009, the record date for the special meeting, voted to adopt the merger agreement.
The transaction remains subject to regulatory approvals and other closing conditions.
